TERMS AND CONDITIONS

Please read these Terms and Conditions carefully before using the Student Housing Institute website, purchasing any program, attending any workshop, or accessing any membership content. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Important: These Terms contain provisions that limit our liability and require individual arbitration of disputes. Please read Sections 13 and 14 carefully.

 

1. ABOUT STUDENT HOUSING INSTITUTE

Student Housing Institute ("SHI," "we," "us," or "our") is an education and advisory platform focused on student housing real estate investment. We provide educational programs, live workshops, online content, advisory services, and investor community access to real estate investors and professionals.

Our principal place of business is in the United States. References to "you" or "user" mean any individual or entity accessing our website or using our services.

 

2. ACCEPTANCE OF TERMS

By visiting our website at studenthousinginstitute.com, creating an account, purchasing a program or workshop, or accessing any SHI content, you agree to be legally bound by these Terms and Conditions and our Privacy Policy, which is incorporated herein by reference.

If you are accessing SHI on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, you may not access or use our services on behalf of that entity.

You must be at least 18 years of age to use our services or make any purchase. By using our services, you represent and warrant that you meet this age requirement.

 

3. PROGRAMS, WORKSHOPS, AND MEMBERSHIPS

SHI reserves the right to modify, suspend, or discontinue any program, workshop, or service at any time with reasonable notice. We reserve the right to limit enrollment in any program to ensure program quality.

 

4. PRICING AND PAYMENT

All prices are listed in US dollars and are subject to change without notice. The price displayed at the time of your purchase is the price you will be charged.

Payment is processed securely through Stripe, Inc. By providing payment information, you authorize us to charge the applicable fees to your payment method. You represent that you are authorized to use the payment method provided.

For any recurring charges, your payment method will be charged automatically at the beginning of each billing period (monthly or annual, as selected) until you cancel. You are responsible for keeping your payment information current. Failed payments may result in suspension or termination of access.

Sales tax or other applicable taxes may be added to your purchase depending on your location and applicable law. SHI is not responsible for any currency conversion fees or charges imposed by your financial institution.

 

5. CANCELLATION AND REFUND POLICY

There are no refunds for any products and services sold by SHI. However, fees paid towards an event may be credited towards a future event if you choose not to attend your initially identified event.

If and when SHI starts charging for membership, then all membership fees are nonrefundable once the term of the membership period begins.

 

6. INTELLECTUAL PROPERTY

All content on the SHI website and within SHI programs — including but not limited to text, graphics, logos, images, audio, video, curricula, frameworks, templates, underwriting models, worksheets, and downloadable materials — is the exclusive property of Student Housing Institute or its content licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

Upon purchasing a program or membership, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the content for your personal, non-commercial investment education purposes only.

You may not:

Reproduce, distribute, publish, or publicly display any SHI content without prior written permission

·       Create derivative works based on SHI content or frameworks

·       Sell, sublicense, or transfer access to SHI content to any third party

·       Use SHI content to create competing educational products or services

·       Share login credentials or provide unauthorized access to any SHI program or membership

·       Record, screenshot, or capture live workshop sessions without prior written consent

The SHI name, logo, and brand marks are trademarks of Student Housing Institute. Nothing in these Terms grants you the right to use our trademarks, trade names, or other brand features without our express written permission.

 

7. EDUCATIONAL CONTENT — NOT INVESTMENT ADVICE

Important Notice: All content provided by Student Housing Institute — including programs, workshops, newsletters, advisory sessions, community discussions, and all other materials — is for educational and informational purposes only.

Nothing on the SHI website or within any SHI program constitutes investment advice, financial advice, legal advice, tax advice, or any other professional advice. SHI is an educational platform, not a registered investment advisor, broker-dealer, or financial institution.

Past performance of any investment strategy discussed in SHI content does not guarantee future results. Real estate investing involves significant risk, including the risk of loss of principal. You should conduct your own due diligence and consult qualified professionals — including licensed financial advisors, attorneys, and accountants — before making any investment decision.

Any case studies, examples, deal analyses, or market data presented in SHI content are for illustrative purposes only. They do not represent a guarantee, promise, or projection of any specific outcome. Individual results will vary based on numerous factors outside SHI's control.

By using SHI services, you acknowledge that you are solely responsible for your investment decisions and that SHI has no liability for any losses, damages, or outcomes resulting from your application of SHI educational content.

 

8. USER CONDUCT

As a condition of using SHI services, you agree to conduct yourself professionally and respectfully. You agree not to:

·       Use SHI services for any unlawful purpose or in violation of any applicable law or regulation

·       Harass, threaten, intimidate, or demean other members, participants, or SHI staff

·       Post or share false, misleading, defamatory, or fraudulent content in any SHI community or platform

·       Attempt to gain unauthorized access to any SHI system, account, or content

·       Interfere with or disrupt the operation of any SHI service or platform

·       Solicit other SHI members for business purposes unrelated to legitimate investment collaboration without prior written consent from SHI

·       Use automated systems, bots, or scraping tools to access or collect SHI content

·       Misrepresent your identity, qualifications, or experience to SHI or other members

SHI reserves the right to remove any content that violates these standards and to suspend or terminate the account of any user who violates these terms, without refund.

 

9. MEMBERSHIP AND ACCOUNT TERMS

To access certain SHI content and services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account at info@studenthousinginstitute.com.

Each account is for a single individual. Account sharing — providing your login credentials to another person — is a material breach of these Terms and may result in immediate termination of your account without refund.

SHI reserves the right to suspend or terminate any account at its sole discretion for violation of these Terms, for conduct detrimental to the SHI community, or for any other reason with reasonable notice. In the event of termination for cause, no refund will be issued for any unused portion of a paid membership or program.

Upon termination of your account for any reason, your license to access SHI content immediately terminates and you must cease all use of SHI materials.

 

10. THIRD-PARTY SERVICES AND LINKS

Our website and programs may contain links to third-party websites, tools, or services — including Stripe for payment processing, Squarespace for hosting, Google Analytics for traffic analysis, and Acuity Scheduling for appointments and workshops. These third-party services are provided for your convenience and are governed by their own terms and privacy policies.

SHI does not endorse, control, or assume any responsibility for the content, accuracy, privacy practices, or availability of any third-party website or service. Your use of any third-party service is at your own risk. We encourage you to review the terms and privacy policies of any third-party service you use in connection with SHI.

SHI is not responsible for any loss or damage resulting from your use of third-party services, including but not limited to payment processing errors, scheduling system failures, or data breaches at third-party providers.

 

11. DISCLAIMER OF WARRANTIES

SHI services are provided on an "as is" and "as available" basis without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, SHI expressly disclaims all warranties, including but not limited to:

·       Implied warranties of merchantability, fitness for a particular purpose, and non-infringement

·       Warranties that our services will be uninterrupted, error-free, or free of viruses or other harmful components

·       Warranties regarding the accuracy, completeness, reliability, or timeliness of any content, data, or information provided through our services

·       Warranties that any educational content will produce any particular investment outcome or financial result

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full. In such jurisdictions, our warranties are limited to the minimum extent permitted by applicable law.

 

12. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, SHI, its founders, officers, employees, contractors, and affiliates shall not be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

·       Loss of profits, revenue, data, business, or goodwill

·       Investment losses or financial damages arising from application of SHI educational content

·       Damages arising from unauthorized access to or alteration of your data

·       Damages arising from any conduct or content of any third party using our services

·       Damages arising from any interruption or cessation of our services

In no event shall SHI's total aggregate liability to you for all claims arising out of or relating to your use of our services exceed the greater of (a) the total amount you paid to SHI in the six months preceding the claim, or (b) one hundred dollars ($100).

The limitations in this section apply regardless of the theory of liability — whether in contract, tort, strict liability, or otherwise — and even if SHI has been advised of the possibility of such damages.

 

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Student Housing Institute and its founders, officers, employees, contractors, agents, licensors, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees — including reasonable attorneys' fees — arising out of or relating to:

·       Your violation of these Terms and Conditions

·       Your use of SHI services in a manner not authorized by these Terms

·       Your violation of any third-party right, including intellectual property, privacy, or property rights

·       Any investment decision you make based on SHI educational content

·       Any content you submit, post, or transmit through SHI platforms or community spaces

 

14. DISPUTE RESOLUTION AND ARBITRATION

Informal Resolution First. Before initiating any formal dispute process, you agree to contact SHI at info@studenthousinginstitute.com and provide a written description of the dispute, the relief sought, and your contact information. We will attempt to resolve the dispute informally within 30 days.

Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of SHI services — except as set forth below — shall be resolved by binding individual arbitration administered by JAMS under its applicable rules, rather than in a court of law. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. You agree that any arbitration or proceeding shall be limited to the dispute between SHI and you individually. To the fullest extent permitted by law, you waive the right to participate in a class action, class arbitration, or representative proceeding.

Exceptions. Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to prevent irreparable harm pending the outcome of arbitration.

Opt-Out. You may opt out of the arbitration agreement by sending written notice to info@studenthousinginstitute.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you are opting out of arbitration. Opting out does not affect any other provision of these Terms.

 

15. GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration under Section 14, you consent to the exclusive jurisdiction of the state and federal courts located in North Carolina for the resolution of such dispute.

 

16. CHANGES TO THESE TERMS

SHI reserves the right to modify these Terms and Conditions at any time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify registered users by email.

Your continued use of SHI services after any modification constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using our services and, if applicable, cancel your membership before the changes take effect.

We encourage you to review these Terms periodically. The most current version will always be available at studenthousinginstitute.com/terms.

18. MISCELLANEOUS

Entire Agreement. These Terms, together with the Privacy Policy and any program-specific terms provided at the time of purchase, constitute the entire agreement between you and SHI regarding your use of our services and supersede all prior agreements, understandings, and communications.

Severability. If any provision of these Terms is found by a court or arbitrator to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect.

Waiver. SHI's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless acknowledged and agreed to by SHI in writing.

Assignment. You may not assign or transfer these Terms or any rights hereunder without SHI's prior written consent. SHI may assign these Terms freely without restriction.

Force Majeure. SHI shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemic, government action, internet outages, or other events of force majeure. In the event a live workshop is cancelled due to force majeure, registered participants will be offered the choice of a rescheduled workshop.
